Transactional Practice

The Firm represents a variety of domestic and foreign investors such as private equity funds, venture capital funds, seed funds, pension funds, angel networks, family offices and HNIs. To ensure timely closure of transactions for our dynamic investors and fast-growing investee companies, we ensure quick turnaround time and offer practical advice. The Firm advises investors on structuring, fund formation as well as the process of investment/divestment, including:

  • Advising on the right equity/equity-linked/debt instruments to meet the needs of the investor.
  • Drafting and negotiating transactional documents such as term sheets, share subscription agreement, shareholders’ agreement, convertible debt agreement, venture debt agreements (including securities subscription agreement, debenture trustee agreement, deed of hypothecation), founder vesting agreement, co-founder agreement.
  • Conducting legal and secretarial due diligence of the prospective investee companies on behalf of investors and discussing the commercial impact of the issues identified during the due diligence with the investors.
  • Advising on the suitable exit strategies and as well as documentation, negotiation and closing of these transaction.

Fund Formation & Regulatory Compliances

We also provide legal advice and services for the formation, structuring and documentation of funds, including assisting on registration as alternative investment funds and foreign portfolio investors with Securities and Exchange Board of India. We provide end to end support through the process of the entire fund formation exercise starting from working on the structuring to negotiations with Limited Partners and successful closing of the fund. We also advise on amendments and change of ownership of existing fund structures.

Further, we leverage our Founder's experience of working with the Securities and Exchange Board of India to conduct annual audits of alternative investment funds (AIFs) to ensure that they are in compliance with the Private Placement Memorandum as mandated by SEBI. The Firm also assists institutional investors in monitoring investee companies (including Environmental, Social and Governance (ESG) risks and opportunities) as mandated by SEBI’s Stewardship Code. We also draft policies for discharge of stewardship responsibilities and management of conflict of interest for AIFs and mutual funds.
